Copient AI Use Terms
These Copient AI Use Terms (“Terms”) apply to your use of the Copient AI-powered simulation and training service (the “Service”). Please read them together with the short acknowledgment presented before you begin. By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
How These Terms Apply to You
Two situations. (a) Through an organization. If you access the Service through an organization — your school, employer, or a program provider — that has its own agreement with Copient AI (“Your Organization’s Agreement”), that agreement governs the activity and the handling of data from your interaction, and these Terms cover your direct use of the Service. Where Your Organization’s Agreement and these Terms conflict, Your Organization’s Agreement controls as to the activity, data handling, and commercial terms, and any limitation or cap on Copient AI’s liability in it also applies to you, and your organization can tell you what that cap is; however, the Copient-specific AI notices, disclaimers, acceptable-use rules, and no-reliance terms in these Terms continue to apply unless Copient AI expressly agrees otherwise in writing. (b) On your own account. If you signed up for and pay Copient AI directly, with no organization’s agreement in place, these Terms and the short acknowledgment are the entire agreement between you and Copient AI for your use of the Service.
Purpose — Training and Simulation Only; Not Professional Advice
The Service, including all AI-generated outputs, is provided for education, training, and simulation only. It is not, and must not be used as, professional, legal, medical, financial, or other expert advice, and it does not create any professional relationship. You must not rely on the Service or any AI-generated output to make real-world decisions about any actual person or matter. You remain solely responsible for exercising your own judgment and for verifying any important information against authoritative sources.
AI Limitations
The Service uses generative AI to conduct interactive simulations and provide coaching and feedback. You acknowledge and agree that AI-generated responses are probabilistic and may be inaccurate, incomplete, outdated, biased, or not grounded in authoritative sources or in your inputs, and you accept the risks associated with their use. You are solely responsible for the content you provide, for how you use any generated content, and for any resulting interactions. Copient AI does not warrant and disclaims liability for the accuracy, completeness, or appropriateness of any AI-generated output.
Sensitive and Regulated Information
You agree not to enter, upload, or transmit through the Service any sensitive or regulated information about a real person — including health, financial, government-identifier, or other data subject to heightened legal protection, or information that could identify a real individual — unless your organization or program has expressly told you that this use is permitted under Copient-approved safeguards. You are responsible for complying with all privacy and data-protection laws applicable to you.
Eligibility and Age
You must be at least 18 years old to create a direct, self-paid account and to agree to these Terms on your own behalf. If you are under 18, you may use the Service only where an organization has enrolled you and has confirmed to Copient AI that it has obtained any parental or guardian consent required by applicable law; in that case your use is also subject to Your Organization’s Agreement.
License to Use
Subject to these Terms, Copient AI grants you a revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your own permitted use in connection with the activity through which you access it.
Acceptable Use
You agree not to: (a) upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable; (b) impersonate any person or entity or misrepresent your affiliation; (c) interfere with or disrupt the Service or connected networks; or (d) bypass, disable, or attempt to circumvent any safeguard, disclosure, limitation, or monitoring feature of the Service, or use the Service outside your permitted activity.
Fees and Billing (Direct Accounts)
If you use the Service on your own account, the fees, the access period (such as a semester or other fixed term stated at the point of purchase), and any refund terms are as described at the point of purchase or on the applicable ordering page, and are part of these Terms. Direct accounts are sold for a fixed term: your access ends automatically at the end of the stated term, your purchase does not renew automatically, and you will not be charged again unless you make a new purchase. Refunds, where offered, are available as described at the point of purchase. If Copient AI introduces automatically renewing subscriptions in the future, we will disclose the renewal terms — including the amount you will be charged and how often — clearly and conspicuously before you subscribe, we will not charge you unless we have first obtained your affirmative consent to those terms, and we will provide a simple, prominently available online cancellation mechanism in your account settings.
Data and Privacy
To provide the Service, your speech is captured and transmitted to third-party speech-to-text service providers that generate a transcript; Copient AI requires those providers to keep it confidential and not to use it to train their models or retain it beyond providing the service. Your interaction may also be transcribed and processed to operate, deliver, support, and secure the Service. Copient AI does not use your inputs to train or fine-tune any artificial intelligence model, including foundation models and Copient AI’s own models. Where you access the Service through an organization under Your Organization’s Agreement, the data-handling, retention, return, and destruction terms of that agreement govern and control over these Terms and the short acknowledgment. Any use of data for analytics or improvement outside such an agreement will be in de-identified or aggregated form that does not identify you or any individual. Copient AI’s collection and use of personal information is otherwise described in our Privacy Policy.
Recording of Sessions
Some organizations enable recording of the full session, including video. Session recording is off by default at the organization level and is enabled only by Copient AI, at your organization’s request. Depending on the setting requested, it records either the audio, or the audio and video, of the session, and the recording is kept for as long as your organization’s retention policy provides. Where it is enabled for your organization, the acknowledgment presented to you before you can access the Service says so, and your acceptance of that acknowledgment is your consent to the recording. You cannot access the Service without accepting the acknowledgment, so no recording begins before you consent. Where video is not required you may turn off your camera. Your organization decides whether to request recording and is responsible for any further notices or consents required where you are. Audio capture and transcription, by contrast, are inherent to the Service and occur whenever you use it.
Intellectual Property
All content and materials available through the Service, including text, graphics, logos, and software, are the property of Copient AI or its licensors and are protected by intellectual property laws. You agree not to copy, modify, distribute, or create derivative works of the Service or its content except as expressly permitted. As between you and Copient AI, you retain rights in the content you input, subject to the rights granted in these Terms and to any agreement between Copient AI and your organization. As between you and Copient AI, you may use outputs generated for you for your personal training and learning purposes, subject to these Terms and Copient AI’s rights in the Service.
Disclaimer of Warranty
The Service may contain errors, bugs, and other problems, and its features may change; any reliance on the Service is at your own risk. You accept the Service “as is.” Copient AI makes no warranty of any kind regarding the Service and expressly disclaims all implied and statutory warranties, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
Indemnification
You agree to indemnify, defend, and hold harmless Copient AI and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or connected with your misuse of the Service, your violation of these Terms or applicable law, your entry of prohibited information, or your reliance on AI-generated output to make any real-world decision. If you use the Service on your own account (not through an organization), your obligations under this section are subject to the Limitation of Liability section below.
Limitation of Liability
To the fullest extent permitted by law, Copient AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any real-world or professional outcomes, arising from your use of or inability to use the Service or from any content obtained from the Service. Where you access the Service under an agreement between Copient AI and an organization, any limitation or cap on Copient AI’s liability in that agreement also applies; your organization can tell you what it is.\ \ If you use the Service on your own account (not through an organization), then to the fullest extent permitted by law, the total aggregate liability of each of you and Copient AI for all claims arising out of or relating to these Terms or the Service, whether in contract, tort, or otherwise, will not exceed the greater of (a) the amounts you paid Copient AI for the Service in the twelve (12) months before the event giving rise to the claim, or (b) two hundred fifty U.S. dollars (US $250). This cap applies in the aggregate to all claims together, not per claim, and applies regardless of the forum in which a claim is brought.
Nothing in these Terms excludes or limits liability for: (a) fraud or fraudulent misrepresentation; (b) gross negligence or willful misconduct; (c) death or personal injury caused by a party’s negligence; or (d) any liability that cannot be excluded or limited under applicable law. Some jurisdictions do not allow the exclusion or limitation of certain damages or warranties, so some of the exclusions and limitations in these Terms may not apply to you; in that case, liability is limited to the fullest extent applicable law permits, and the remainder of these Terms stays in effect. These Terms do not limit any rights or remedies you have under applicable law that cannot be waived or limited by agreement.
Modifications to the Service
Copient AI may modify or discontinue, temporarily or permanently, the Service or any part of it, with or without notice, and shall not be liable to you or any third party for doing so.
Dispute Resolution; Binding Arbitration; Class Action Waiver
Please read this section carefully; it affects how disputes are resolved. If you use the Service on your own account (not through an organization), then except for claims that qualify for small-claims court, you and Copient AI agree that any dispute arising out of or relating to the Service or these Terms will be resolved by final and binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, including its Mass Arbitration Supplementary Rules, in effect when the arbitration is filed, as modified by these Terms, and each of us waives any right to a jury trial. This agreement to arbitrate is governed by the Federal Arbitration Act. The terms of this arbitration agreement and the class action waiver below do not apply where they are unenforceable under the law of the country or province in which you reside.
Right to opt out. You may opt out of this arbitration agreement by sending written notice to legal@copient.ai within 30 days after you first accept these Terms. Opting out does not affect any other provision of these Terms.
Disputes will be brought only in an individual capacity and not as a plaintiff or class member in any class, collective, consolidated, or representative action. If the class action waiver is found unenforceable as to a particular claim or request for relief, that claim or request — and only that one — will be severed and may proceed in court, and the remainder of this section stays in effect. If you access the Service through an organization, disputes about the activity and the handling of data from it are resolved under Your Organization’s Agreement; disputes between you and Copient AI about your own use of the Service are resolved under this section.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict-of-law provisions. The United Nations Convention on Contracts for the International Sale of Goods is excluded. If you are a consumer, this choice of law does not deprive you of the protection of any provision that cannot be derogated from by agreement under the law of the country or province where you habitually reside. If you use the Service on your own account and you are a resident of California, California law governs any dispute arising in California.
Copyright Policy
Copient AI does not permit copyright-infringing activity on the Service and will remove infringing content when properly notified under the Digital Millennium Copyright Act (DMCA). To submit a notice, contact our Copyright Agent at help@copient.ai with the information required under 17 U.S.C. 512(c)(3).
Educational Purpose Only — Not Medical Advice
For medical or clinical programs, the Service and its outputs are not a diagnostic tool, medical advice, a treatment or clinical recommendation, or clinical decision support, and do not create a physician–patient relationship. You must not rely on any AI output to diagnose, treat, or manage any actual patient or to make any clinical decision, and you remain solely responsible for independent professional judgment and for verifying information through authoritative clinical sources.
No Patient-Identifiable Information or PHI
You agree not to enter, upload, or transmit any Protected Health Information (PHI) or other patient-identifiable information unless your organization or program has expressly told you that this use is permitted under Copient-approved safeguards (including a Business Associate Agreement where applicable). You are responsible for complying with HIPAA and all applicable health-privacy laws.
Human Oversight and Accreditation Transparency
The educational content, learning objectives, and configuration that govern the simulation are provided and reviewed by the accredited provider or program provider and its faculty or subject-matter experts; AI outputs are generated dynamically. The accredited provider validates the configured scenario, learning objectives, and scoring rubric before the activity is deployed; individual AI responses within a session are not separately reviewed in advance. Where required by applicable accreditation standards, the accredited provider is responsible for disclosing the role of AI in the activity and the human oversight applied to it. Copient AI is separately responsible for telling you that you are interacting with an AI system.
CME-Specific Indemnity and Liability
Without limiting the base Terms, Copient AI shall not be liable for any medical, clinical, accreditor, grantor, or regulatory outcomes arising from the program content or your reliance on AI outputs in the care of any actual patient, and you agree to indemnify Copient AI for claims arising from your entry of unauthorized PHI or other prohibited data or reliance on AI outputs in actual patient care.
Entire Agreement
These Terms, together with the short acknowledgment you accepted and — if applicable — Your Organization’s Agreement, constitute the entire agreement between you and Copient AI regarding your use of the Service. For direct accounts, these Terms and the short acknowledgment are the entire agreement.
